Seller Agreement

This Seller Agreement ("Agreement") governs your use of BinderMarket as a seller. When you make a binder public — listing it so other users can buy it — you agree to these terms. Please read them carefully. If you do not agree, do not list binders for sale on BinderMarket.

This Agreement works together with our Terms of Service and Privacy Policy. Capitalized terms not defined here have the meaning given in the Terms of Service.


1. What BinderMarket Is

BinderMarket is an online marketplace where you can sell a whole binder (collection) of Pokémon trading cards to a buyer. BinderMarket facilitates the listing, the payment, and the shipping, and provides buyer and seller protections. BinderMarket is not the buyer or the seller in your transaction — you sell directly to the buyer, and BinderMarket acts as the platform that makes the sale possible.

You are responsible for the cards you list, the accuracy of your listing, and shipping the cards you sell.


2. Eligibility and Account Requirements

To sell on BinderMarket, you must:

  • Have a BinderMarket account with a verified email address.
  • Have a shipping address on file.
  • Complete Stripe Express onboarding and have a connected Stripe account with both charging and payouts enabled. Stripe is our payments partner; you cannot list a binder for sale until your Stripe account is ready. Stripe collects the information it needs (including tax information) during onboarding.
  • Be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract.

You are responsible for keeping your account information accurate and your Stripe account in good standing. If your Stripe account loses the ability to accept charges or receive payouts, you will not be able to list or complete sales until it is restored.


3. What You Can List

Ungraded, English-language Pokémon cards only. BinderMarket's catalog is limited to English-language, non-digital Pokémon cards priced from ungraded ("raw") market data. You may not list:

  • Graded cards (such as PSA, BGS, or CGC slabs) or sealed products — BinderMarket prices and supports ungraded singles only.
  • Counterfeit, fake, altered, or misrepresented cards.
  • Cards you do not own or do not have the right to sell.
  • Any item not supported by the BinderMarket catalog.

Minimum value. A binder must be worth at least $100 in market value to be listed publicly.

Accurate condition and details. You must list cards in their true condition and variant. Misrepresenting a card's condition, variant, or authenticity is a violation of this Agreement and may result in a strike, a lost dispute, and/or suspension.

Photos. For any card valued at $10 or more, you must upload clear front and back photos. Photos must be your own images of the actual cards, in JPEG or PNG format. All uploaded images are automatically screened; images containing inappropriate content are rejected.

We strongly encourage you to photograph the front and back of every card you list, even those under $10. Clear, accurate photos are your best protection: if a buyer later disputes the condition or authenticity of what you sent, your listing photos are your primary evidence.


4. Fees and What You Earn

Platform fee: 8.24%. BinderMarket charges a platform fee of 8.24% of the binder's sale price. Your payout is the sale price minus this fee.

Example: If your binder sells for $200, the platform fee is $16.48, and your payout is $183.52.

Shipping and insurance do not reduce your payout. The buyer pays for shipping and insurance — these costs are added to the buyer's total, not deducted from you. Your payout is always the sale price minus the 8.24% fee.

BinderMarket provides and pays for the shipping label. When your binder sells, BinderMarket automatically generates a prepaid shipping label and covers its cost (funded by the shipping amount the buyer paid). You never pay for the label out of pocket.

Payment processing. The buyer pays the payment processing fee (2.9% + $0.30), which is added on top of their total. You do not pay the processing fee on a normal sale.


5. How and When You Get Paid

BinderMarket uses a secure held-payment model to protect both you and the buyer.

How it works:

  1. When a buyer purchases your binder, the payment settles into your own connected Stripe balance — but it is held (not yet paid out to your bank) until the transaction is complete.
  2. After the binder is delivered, there is a 5-day inspection window during which the buyer can confirm receipt or open a dispute.
  3. Your payout is released to your bank when either the buyer confirms delivery or the 5-day inspection window passes without a dispute — whichever comes first.
  4. Once released, funds typically reach your bank within Stripe's standard timing (about 1–2 business days).

This hold is simply a delay on paying out your own funds — it is not an escrow account controlled by BinderMarket. The money sits in your connected Stripe balance the entire time.

If a dispute is opened during the inspection window, your payout stays held until the dispute is resolved (see Section 8).


6. Your Shipping Obligations

The label is created for you automatically. When your binder sells, BinderMarket automatically generates and pays for a prepaid shipping label. You do not need to buy or create it. Your job is to print the label, pack the cards securely, and get the package to the carrier promptly.

You must ship within 5 days. Once a buyer's payment is confirmed, you have 5 days to hand the package to the carrier and get it scanned (shipped).

If a label somehow isn't generated: In the rare case that no shipping label exists by the end of the 5-day deadline (for example, if label generation failed), the order is automatically cancelled, the buyer is fully refunded, your binder returns to your drafts, and you receive a strike.

If you don't get the package scanned: If a label was generated but the package is never scanned by the carrier, the order is flagged for review after a short grace period, and if there is still no carrier scan by 14 days, the order is automatically cancelled, the buyer is refunded, and you receive a strike.

Tracking is monitored automatically. BinderMarket monitors your shipment's tracking and updates the order status (shipped, delivered) automatically. You do not need to update the status manually.

Print your label and get the package moving quickly — the carrier scan starts the tracking clock and protects your sale.


7. Cancellations and Refunds

Buyer-requested cancellations. A buyer may request to cancel an order before you ship. You can approve or decline the request. If you do not respond within 48 hours, the cancellation request is automatically approved and the buyer is refunded.

Automatic cancellations. Orders are automatically cancelled (and the buyer refunded) if you miss the 5-day shipping deadline, or if a purchased label shows no carrier scan within the backstop period described in Section 6.

How refunds work. In our held-payment model, a refund reverses the sale: the funds are returned to the buyer from your held connected balance, and BinderMarket returns its own platform fee. Because your payout is held until the transaction completes, a refund on a held order comes out of those held funds — not out of your pocket after the fact.


8. Disputes

If a buyer believes there is a problem with the binder they received (for example, wrong condition, missing cards, damage, or authenticity concerns), they may open a dispute.

Dispute window. A buyer can open a dispute within 5 days of delivery (the same window during which your payout is held). Once your payout has been released (no dispute filed in time), a dispute can no longer be opened.

Your response window. When a dispute is opened, you have 48 hours to respond with your side and any evidence (such as your listing photos). You will be notified when a dispute is opened, with a reminder before the deadline.

What happens after you respond. If you respond within your 48-hour window, the dispute goes to review by a BinderMarket administrator (a member of our support/review team) and is decided only by that human reviewer — the automatic refund never applies once you have responded. Possible outcomes are: full refund to the buyer, partial refund (with the remainder released to you), or the funds released to you. An administrator may apply a strike if a dispute is resolved against you.

If you don't respond within 48 hours. Your response window is the 48 hours after a dispute is opened. If you do not respond within that window, the dispute is escalated to BinderMarket admin review, and your opportunity to respond has passed. Your funds remain held while it is reviewed. As a final backstop, if an escalated (unresponded) dispute remains unresolved for 7 days in admin review, it is automatically resolved in the buyer's favor (full refund), and you receive a strike for not responding.

In short: respond within 48 hours and only an admin decides your dispute. The 7-day automatic refund applies only if you never respond within your window.

Who bears a refund. Because your funds are held while a dispute is open, a dispute refund is taken from your held balance. BinderMarket returns its own platform fee in a full refund. If for any reason your held funds are insufficient to cover a refund, the amount may be recovered from your connected Stripe account.

The best protection is to respond. A dispute is only the buyer's side of the story until you respond. Respond promptly with your listing photos and details — that is your opportunity to present your case before any decision is made.


9. Chargebacks

A chargeback is when a buyer disputes a charge directly with their bank or card issuer (separate from BinderMarket's own dispute process).

Chargebacks are your responsibility. If a buyer files a chargeback and it is resolved in the buyer's favor, the amount is clawed back from you — your payout for that order is reversed. If your connected Stripe balance does not have sufficient funds to cover the reversal, the amount may be recovered from your linked bank account.

BinderMarket may provide the transaction information (your listing, photos, tracking, and delivery confirmation) to help contest an unwarranted chargeback, but the financial responsibility for a lost chargeback rests with you as the seller.

This is another reason to keep accurate listings, upload clear photos, and always ship with tracking — that documentation is what protects you against a chargeback.


10. Strikes and Suspension

BinderMarket uses a strike system to keep the marketplace safe and reliable.

What can earn a strike includes (but is not limited to): missing the shipping deadline, a purchased label that is never scanned, selling counterfeit cards, misrepresenting a card's condition or variant, attempting to contact or transact with a buyer off-platform or circumvent BinderMarket, harassment, posting inappropriate content, or having a dispute resolved against you.

Suspension. Accumulating 3 active strikes results in suspension. While suspended, you cannot publish or list binders, and your active listings are removed from the marketplace. Orders already in progress continue through fulfillment and payout.

Strikes do not expire on their own. A strike remains until a BinderMarket admin voids it. If a voided strike drops your count below 3, your suspension is lifted.


11. Going Private / Withdrawing a Listing

You may take a listed binder private (return it to draft) at any time before it sells. When you do, any outstanding offers and special deals on that binder are cancelled, and the affected buyers are notified. Once cancelled, those offers and deals do not return if you re-list the binder — a buyer would need to make a new offer.


12. Reviews

After an order is confirmed (delivery confirmed by the buyer, or auto-confirmed after the inspection window), the buyer may leave you a review and a rating (1–5 stars). A buyer may leave one review per order, and there is no deadline to leave it. Your overall rating and review count are shown to other buyers. Reviews are a core part of building your reputation on BinderMarket.


13. Taxes

You are responsible for reporting and paying any taxes owed on your sales. Depending on your sales volume and applicable federal and state law, BinderMarket (through its payments partner, Stripe) may issue you a Form 1099-K for your transactions. Stripe collects the tax information needed for this reporting during your Express onboarding, and you will be able to access any tax documents through your Stripe Express account. Receiving or not receiving a 1099-K does not change your obligation to report your income — you are responsible for reporting all income you earn, regardless of whether a form is issued. BinderMarket does not provide tax advice; you should consult a tax professional about your own obligations.


14. Your Representations

By listing a binder, you represent and warrant that:

  • You own the cards or have the right to sell them.
  • The cards are authentic and are not counterfeit, fake, or altered.
  • Your listing (condition, variant, photos, and description) is accurate and not misleading.
  • You will ship the exact cards you listed, on time, using the prepaid label BinderMarket provides, and get the package scanned by the carrier.
  • You will comply with this Agreement, the Terms of Service, and all applicable laws.

15. Content and Intellectual Property

You keep ownership of the photos, descriptions, and other content you upload ("Seller Content"). BinderMarket does not take your content away from you.

However, for BinderMarket to actually show your listing to buyers — display your photos on the listing page, in search results, in the card viewer, and so on — you need to give BinderMarket your permission to do that. This permission is called a "license." By uploading Seller Content, you grant BinderMarket a non-exclusive, worldwide, royalty-free license to host, display, and reproduce that content for the purpose of operating and promoting the marketplace. In plain terms: you're allowing BinderMarket to show your photos and listing so the sale can happen. This permission continues for content tied to completed sales as needed for records, disputes, and legal compliance.

You confirm that you own or have the rights to all Seller Content you upload and that it does not infringe anyone else's rights.


16. Prohibited Conduct

You agree not to:

  • List counterfeit, stolen, or misrepresented items.
  • Attempt to complete a transaction off-platform or circumvent BinderMarket's fees or protections.
  • Contact buyers for purposes outside completing the BinderMarket transaction.
  • Harass, threaten, or abuse buyers, other users, or BinderMarket staff.
  • Upload inappropriate, illegal, or infringing content.
  • Manipulate reviews, ratings, listings, or the dispute process.

Violations may result in strikes, suspension, cancellation of orders, and/or termination of your account.


17. Changes to This Agreement

BinderMarket may update this Agreement from time to time. If we make material changes, we will provide notice (for example, by requiring you to accept the updated Agreement before your next listing). Your continued use of BinderMarket as a seller after an update means you accept the updated Agreement.


18. Indemnification

You agree to indemnify, defend, and hold harmless BinderMarket and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) the cards you list or sell, including any claim that they are counterfeit, misrepresented, stolen, or infringing; (b) your breach of this Agreement or the Terms of Service; (c) your violation of any law or the rights of any third party; or (d) your Seller Content. This obligation survives termination of this Agreement.


19. Termination

You may stop selling on BinderMarket at any time. BinderMarket may suspend or terminate your selling privileges for violations of this Agreement, as described above. Any orders already in progress at the time of suspension or termination will continue through fulfillment and payout, and obligations that by their nature should survive (such as chargeback responsibility, refund responsibility for completed sales, and indemnification) will survive termination.


20. Disclaimers and Limitation of Liability

Note: This section contains standard protective language but should be reviewed and finalized by legal counsel to ensure it is enforceable in your governing jurisdiction.

BinderMarket provides the marketplace platform on an "as is" and "as available" basis, without warranties of any kind, express or implied, except as required by law. BinderMarket does not warrant that the service will be uninterrupted or error-free.

To the fullest extent permitted by law, BinderMarket and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of BinderMarket as a seller. To the fullest extent permitted by law, BinderMarket's total liability for any claim arising out of or related to this Agreement will not exceed the total platform fees you paid to BinderMarket in the twelve (12) months before the event giving rise to the claim.

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law.


21. Governing Law and Dispute Resolution

Note: This section is the most important part of this Agreement to confirm with a lawyer before or shortly after launch. Arbitration clauses are technical, and their enforceability depends on precise drafting. The language below is a reasonable, standard default.

This section covers what happens if you and BinderMarket have a legal dispute (this is separate from the buyer–seller disputes in Section 8).

Governing law. This Agreement is governed by the laws of the State of California.

Step 1 — Talk it out. If you have a dispute with BinderMarket, you agree to first contact us and try to resolve it informally and in good faith. Most issues can be resolved this way.

Step 2 — Small claims court is allowed. For smaller disputes, either side may bring an individual claim in small claims court.

Step 3 — Otherwise, arbitration (no class actions). Any dispute that isn't resolved informally and isn't a small-claims matter will be handled through binding individual arbitration (a private process) rather than in court, in accordance with the dispute-resolution and arbitration provisions of the BinderMarket Terms of Service, which are incorporated here by reference. You and BinderMarket each agree to bring claims only individually — not as part of a class-action or group lawsuit. You may opt out of arbitration by notifying us in writing within 30 days of first accepting this Agreement.

Any dispute that isn't handled in arbitration will be brought in the state or federal courts located in Fresno, California, consistent with our Terms of Service.


22. General Terms

Entire agreement. This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and BinderMarket regarding selling on the platform, and supersedes any prior agreements on that subject.

Severability. If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

No waiver. BinderMarket's failure to enforce any provision is not a waiver of its right to do so later.

Assignment. You may not assign or transfer this Agreement without BinderMarket's consent. BinderMarket may assign this Agreement in connection with a merger, acquisition, or sale of assets.

Force majeure. BinderMarket is not liable for any failure or delay caused by events beyond its reasonable control (such as natural disasters, outages of third-party services like our payment or shipping partners, or government actions).

Relationship. You and BinderMarket are independent parties. This Agreement does not create a partnership, employment, agency, or joint-venture relationship.
